RAISE TO WIN CHALLENGE FALL - 2019. $10,800.00 in cash up for grabs when your team raises money through FlipGive from
September 3rd, at 12:01am 2019 through September 30th , 2019 at 11:59 pm EST.
SPONSORS. The Raise to Win Challenge (“Challenge”) is sponsored by
FlipGive. (“Sponsor”).
OVERALL CHALLENGE PERIOD. The challenge entry period begins at 12:01
a.m. Eastern Standard Time (“EST”) on Tuesday, September 3rd, 2019 (“Challenge
Start Date”) and closes at 11:59 p.m. EST on Monday September 30th , 2019
(“Challenge Close Date”).
ELIGIBILITY. To be eligible for the Raise to Win Challenge, you must be a
verifiable legal resident of Canada or the USA, who has reached the age of
majority in your province or territory or state of residence at the
challenge start Date. You are not eligible if you are an employee of
FlipGive or its respective parents, subsidiaries, affiliates, advertising,
promotional and public relations agencies, or a member of the immediate
family or household of such employees. For the purposes of these rules,
“member of the immediate family” means spouse, including common law spouse,
father, mother, son, daughter, brother and sister of the entrant,
regardless of where they reside. Entrants must be natural persons. The
challenge is void where prohibited or restricted by local, state or federal
law. Only teams are eligible for the Raise to Win Challenge. Monies earned on or transferred
from personal accounts do not quality for this challenge.
All fundraising campaigns ("Teams") on the FlipGive.com platform that are
approved by FlipGive administrators are eligible. Teams and fundraisers
("Team Members") must abide by the FlipGive.com Terms of Use.
HOW TO ENTER. To enter the Raise to Win Challenge, entrants must have a
running team during the entry period. Teams that earn the most overall are
eligible to win cash prizes. Team funds can be raised through shopping with
an affiliated FlipGive merchant partner, the purchase of gift cards from
flipgive.com and from the collection of donations.
CHALLENGE PRIZING. Prizes will be awarded to winners in the form of a credit for
their team. In all cases “cash” refers to a cash credit that is deposited into
the account of the winning Team.
OVERALL TEAM PRIZING. The Raise to Win Challenge overall team prizes are awarded to the teams
that raise the most money through shopping and from the the collection of
donations from September 3rd, at 12:01am 2019 - September 30th, 2019 at 11:59 pm EST. Prizing

WEEKLY PRIZING. The Raise to Win Challenge Weekly prizing awards the teams that have raised
the most during each week of the challenge through Shopping and from the
collection of donations. Teams are not eligible to win more than one weekly
prize during the duration of the contest.

RAISE TO WIN CHALLENGE PRIZING RULES
Only monies earned from shopping or by donations during the noted challenge periods will be counted toward your challenge placement. Bonus team credits (ie Bonus Cash, referral credits, first shop bonus credits) do not contribute to your challenge placement. Monies earned on or transferred from a personal account are not eligible for this challenge.
1. How do I participate in the Raise to Win Challenge?
Overall and weekly challenge prizes will be awarded in the form of a credit
to the team. These credits will be awarded to the teams after the challenge
closes on September 30th , 2019 at 11:59 EST and before October 22nd, 2019
only and after the winning team has signed and reviewed challenge
affidavits.
Team beneficiaries must be approved by FlipGive.com administrators. Prizes
will be awarded only to teams in which the beneficiary has been approved.
All prize values are in the denomination of the team’s country of origin.
Weekly winners will be determined based on the amount of funds earned and
reconciled as of the end of the weekly period. Overall winners will be
determined after a 14-day reconciliation period has occurred.
BRAND EXCLUSIONS. Please note that certain brands exceed the normal 48 hour
reconciliation period and could impact your weekly standings. These include
Hotels.com, Intercontinental hotels group, Expedia.ca, Priceline.com, car
rental services, Loews Hotels, Best Western, Raddison, Sunset airlines,
Virgin Atlantic, Atlantics Hotel, Hard Rock Hotel, Disney Vacations, or any
other hotel partners with the exception of Bookings.com.
AGREEMENT TO OFFICIAL RULES AND DECISIONS. By participating in the
challenge, each team fully and unconditionally agrees to be bound by and
accepts these official rules and the decisions of the sponsor (including,
without limitation, decisions regarding eligibility of entries, the
approval of fundraising teams and beneficiaries, and the awarding of
prizes), which are final and binding in all respects.
NOTIFICATION. Sponsor will determine which fundraising teams will be
awarded prizes (“Winners) to teams registered under the FlipGive program.
Grand prize winners will be notified no later than October 22nd, 2019. Winners
must comply with all terms and conditions of these official rules, and
winning is contingent upon fulfilling all requirements. The potential
winners will be notified by phone and/or email. The potential winners will
be required to execute and return to sponsor a notarized affidavit of
eligibility, a liability release, and/or a publicity release (except where
prohibited by law) (an “Affidavit/Release”) in the form(s) provided in
order to claim the prize. The Affidavit/Release must be returned by the
date and/or time indicated within the Affidavit/Release. If the potential
winners cannot be contacted within five (5) days of the first attempt to
contact the potential winners, or if the potential Winner fails to return
the Affidavit/Release within the specified time, or if any bonus or bonus
notification is returned as undeliverable, or if the potential winner is
found to be ineligible, or if the potential winner does not comply with the
official rules, then the potential winner may be disqualified.
IN THE CASE OF A TIE. In the event of multiple teams raising the same
amount during the overall challenge, prizes will be prioritized based on
the time which that amount was earned. The sooner the amount was earned,
the higher that team will rank. For instance if team A raised $500 by 11pm
on the challenge close date and Team B raised $500 by 11:01pm on the
challenge close date, Team A will rank higher.
PUBLICITY. Except where prohibited by law, participation in the challenge
constitutes the winners’ consent to sponsor and co-sponsor’s use of the
winners’ name, biography, likeness, voice, photographs, video, opinions,
statements, hometown, state/province and country for challenge purposes in
any manner or media (including, without limitation, online), worldwide, in
perpetuity, and without further payment, consideration, notice, review or
consent.
PRIVACY. The sponsor will collect personal data about the participants for
the sole purpose of administering this challenge. The sponsor respects your
right to privacy. Please review the sponsor's privacy policy at
https://www.flipgive.com/pages/privacy for details on the manner in which
we collect, use, disclose, and otherwise manage your personal information.
GENERAL CONDITIONS. The sponsor reserves the right, in their sole
discretion, to terminate, modify or suspend the challenge if, in the
sponsor’s opinion, there is any suspected or actual evidence of electronic
or non-electronic tampering with any portion of the challenge, or if
viruses, bugs, unauthorized intervention, fraud, technical difficulties or
failures or any other factor beyond sponsor’s reasonable control corrupt or
affect the administration, security, fairness, integrity or proper conduct
of the challenge. In such event, the sponsor reserve the right (but do not
have the obligation) in their sole discretion to award prizes to eligible,
non-suspect entries received up to the time of suspected impairment. The
sponsor reserve the right in their sole discretion to disqualify any
individual or team they find to be tampering with the entry process or the
operation of the challenge or to be acting in violation of these official
rules or in an unsportsmanlike or disruptive manner. Any attempt by any
person to deliberately damage any website or undermine the legitimate
operation of this challenge is a violation of criminal and civil laws, and,
should such an attempt be made, sponsor reserve the right to seek damages
and other remedies from any such person to the fullest extent permitted by
law. Sponsor’s failure to enforce any term of these official rules shall
not constitute a waiver of that provision or any other provision of these
official rules. The decisions of the sponsors are final and participants
agree to abide by all of the instructions and decisions of the sponsors. In
the event of any dispute regarding the interpretation of these official
challenge rules, the decision or interpretation of the sponsors shall
prevail. The challenge sponsor reserves the right at its sole discretion to
disqualify any individual from the challenge, and to ban that individual
from any future challenge of the sponsor, if the sponsor finds or believes
such individual to be tampering with the registration process or the
operation of the challenge or where applicable, the website; to be acting
in violation of the challenge rules or in an unsportsmanlike or disruptive
manner, or with intent to annoy, abuse, threaten or harass the sponsor, the
sponsor's agencies, other participants or any other person. ANY ATTEMPT BY
A PARTICIPANT OR ANY OTHER PERSON TO DELIBERATELY DAMAGE ANY WEBSITE OR
UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGE IS A VIOLATION OF
CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR(S)
RESERVES THE RIGHT TO REPORT ANY SUCH VIOLATION TO THE APPLICABLE
AUTHORITIES AND TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT
PERMITTED BY LAW.
RIGHT TO TERMINATE, MODIFY OR SUSPEND. The sponsor may at any time, at its
sole discretion and without liability, terminate, modify or suspend the
challenge in whole or in part, subject only to the approval of any
applicable regulatory authority, if fraud, technical failures including any
network server or hardware failure, viruses, bugs, errors in programming,
or communications or any other errors or other causes beyond the control of
the sponsor corrupt the administration, integrity or security of the
challenge or if any other factor interferes with the conduct of this
challenge as contemplated by these official rules.
IN THE EVENT OF A CONFLICT. These official rules shall prevail over any of
the contents of any other challenge materials advertising this challenge.

individual who tampers or attempts to tamper with the entry process, the
operation of the challenge and/or challenge website, violates the official
rules, or acts with intent to annoy, abuse, threaten or harass any other
person. If the challenge is not capable of running as planned for any
reason, including infection by computer virus, bugs, tampering,
unauthorized intervention, fraud, technical failures, or any other cause of
any nature whatsoever beyond the reasonable control of the challenge
entities which corrupt or affect the administration, security or proper
conduct of this challenge, the sponsor reserves the right at its sole
discretion to, without advance notice, terminate or suspend the challenge,
in whole or in part, or modify it in any way.
RELEASE. By entering and/or accepting a prize, each winner and potential
winner forever and irrevocably releases and holds harmless sponsor, their
respective parents, subsidiaries and affiliates, and their respective
agents, advertising and challenge agencies, affiliates, retail partners,
challenge partners and prize suppliers, and all of their respective
employees, officers, directors, shareholders and agents from and against
all claims, damages or liabilities arising in whole or in part, directly or
indirectly, from the team’s participation and/or entry in the challenge
and/or the winners’ prize, receipt or use of any prize awarded in the
challenge including, without limitation, personal injuries, death and
property damage. By participating in this challenge, participants agree to
be bound of the official rules of this challenge.
LIMITATIONS OF LIABILITY. Sponsor is not responsible for: (a) incorrect or
inaccurate transcription of entry information or late, lost, stolen,
unintelligible, illegible, damaged, mutilated, altered, incomplete,
misdirected or postage due entries or entries received through
impermissible or illegitimate channels, all of which will be disqualified;
(b) technical failures of any kind, including but not limited to the
malfunctioning of any telephone, computer online systems, computer
equipment, website, server provider, network, hardware or software; (c) the
unavailability or inaccessibility of any website or service; (d)
unauthorized intervention in any part of the entry process or the
challenge; (e) printing, typographical, electronic or human errors which
may occur in the offer or administration of the challenge or the processing
of entries; or (f) any injury or damage to persons or property, including
but not limited to team’s computer, which may be caused, directly or
indirectly, in whole or in part, from the winning team’s participation in
the challenge, or from viewing, playing or downloading any material from
website(s), regardless of whether the material was prepared by sponsor or a
third party, and regardless of whether the material is connected to
sponsor’s respective websites by a hypertext link. Any participants
registration that is, incomplete, altered, or contains false information,
is invalid. Sponsor is not responsible for lost, stolen, delayed, damaged
or misdirected claims or entries during the challenge period. The sponsor
is not responsible for any errors or omissions with respect to the printing
or advertising of this challenge and reserves the right to withdraw or
cancel this challenge in the event of a printing or administrative error.
For greater certainty, the challenge entities will not be liable for: a)
any incorrect or inaccurate information, whether caused by Website users or
by any equipment or programming associated with or utilized in the
challenge or by any technical or human error which may occur in the
processing of entries in the challenge; b) any error, omission,
interruption, deletion, defect or delay in operation of the Website or any
transmission in connection with the challenge; c) any communications line
failure, theft, destruction or unauthorized access to, or alteration of,
entries; d) any problems with, or technical malfunction of, any telephone
network or lines, computer online systems, servers or providers, computer
equipment, software, or failure of email which may occur for any reason
whatsoever, including technical problems or traffic congestion on the
internet or at any website or combination thereof; or e) any injury or
damage to participants’ or to any other person's computer related to or
resulting from participating or downloading materials in this challenge.
DISPUTES. Each winner and potential winner agrees that: (a) any and all
disputes, claims, and causes of action arising out of or connected with
this challenge, or any prizes awarded shall be resolved individually,
without resort to any form of class action, and solely and exclusively in a
federal or provincial court located in Toronto, ON, Canada; the winners
submit to sole and exclusive personal jurisdiction to said courts in the
province of Ontario for any such dispute and irrevocably waives any and all
rights to object to such jurisdiction; (b) any and all claims, judgments,
and awards shall be limited to actual out of pocket costs incurred,
including costs associated with entering this challenge but in no event
attorneys’ fees; and (c) under no circumstances will the winners be
permitted to obtain awards for and the winners hereby waives all rights to
claim punitive, incidental and consequential damages and any other damages,
other than for actual out-of-pocket expenses, and any and all rights to
have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT
ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR

questions concerning the construction, validity, interpretation and
enforceability of these official rules, or the rights and obligations of
the winning team or Sponsor in connection with the challenge shall be
governed by, and construed in accordance with, the laws of the province of
Ontario, without giving effect to any choice of law or conflict of law
rules of provisions (whether of the province of Ontario, Canada, or any
other jurisdiction), which would cause the application of the laws of any
jurisdiction other than the province of Ontario. This challenge is subject
to all applicable laws and shall be governed by and construed in accordance
with the laws of the province of Ontario. Any dispute or claim made by a
party shall be filed in the judicial district of Toronto, Ontario to the
exclusion of any other jurisdiction.

1. How do I participate in the Raise to Win Challenge?
To participate, individuals and teams must raise funds through the FlipGive
platform. A FlipGive team member or team that meet the requirements (see
terms and conditions) and who raise the most funds in a given week, or
overall during the period of September 3rd 2019 through September 30th 2019. Team
funds can be raised through shopping with an affiliated FlipGive merchant
partner, the purchase of gift cards from flipgive.com or from the
collection of donations.
2. Do I have to enter or opt-in to participate in the challenge?
No, you do not have to enter or opt-in to participate in the challenge. If
you have a FlipGive Team that is running, you are eligible to participate.
3. What are the overall challenge grand prizes?
Raise to Win Challenge grand prizes are awarded to the teams that have
generated the highest amount of funds raised through shopping or from
donations over the period of the challenge, from September 3rd through September
3rd, 2019. First prizes for the shopping and donation challenges are
$1,500. Second prizes for the shopping and donation challenges are $1,000.
Third prizes for the shopping and donation challenges are $500. Prizes will
be awarded to winners in the form of a credit for their team in the
currency of the country in which their team was created.
4. How do I win an overall prize?
The top six teams (three from most earned through shopping and three from
most earned from donations) that raise the most money during the contest
period will cash prizes that will be released as a team credit.
5. What are the weekly prizes?
The weekly prizes are weekly team credits that are awarded to the six
(three shop, three donation) teams that raise the most money by donation
and shop each week.
6. How can I win a weekly prize?
Shop and earn cash back for your team or collect donations! Each week
during the Raise to Win Challenge, there are six weekly prizes that will be
awarded to teams that raise the most weekly beginning September 3rd 2019 at
12:01AM EST until September 30th 2019 at 11:59PM EST. The Raise to Win Challenge
leaderboard tallies up all the money raised through shopping and from donations
during the period of the contest. Weekly prize winnings do not count towards your
team’s ranking on the leaderboard.
